Oakedge Flyfishers Constitution

Name of club:- Oakedge Fly Fishers

  1. Name

1.1       The name of the Club shall be Oakedge Fly Fishers, hereafter referred to as the Club.

  1. Membership

2.2       Membership of the Club shall be open to all.

2.3       The Club shall have at least a minimum of 30, and a maximum of 35 members. All members are required to pay a membership fee for the year.  The Chairperson will set a minimum and maximum requirement.

  1. Aims and Objectives

The aims and objectives of the Club shall be:

3.2       To provide a fly fishing environment for the membership

3.3       To encourage good practice in all aspects of angling

3.4       To encourage a respect for the countryside

  1. Committee

4.1       The Club shall have a committee consisting of at least the following:

  • Chairperson – Co-ordinator
  • Secretary /  Treasurer – responsible for correspondence and note  taking and be responsible for financial control
  • Member – be responsible for organising working parties to maintain the bankside

4.2       The role of the committee is to manage all aspects of the Club’s administration.  The committee shall not work autonomously.  Planning activities, buying equipment and administering other Club matters must satisfy all members.

4.3       The committee may invite persons to attend any of its meetings as a participant without the power to vote.

4.4       Any vacancy within the committee shall be filled at the A.G.M. from the ordinary membership and agreed by committee.

4.5       Any person who has ceased to become a member of committee shall be eligible for re-election. All committee positions shall be re- elected at the A.G.M. by the membership in attendance

4.6       No member of the committee, sub committee or any of the ordinary membership shall receive remuneration from the club in money or monies worth with the exception of out of pocket expenses.

4.7       The committee will meet at least two times per year

4.8       The chair shall have the power to call special meetings open to all members and can be held for the purposes of altering the constitution and for considering any matter that should be referred to the members in general. The chair should call a special meeting at the request of not less than two committee members or not less than four ordinary members.

  1. Sub-committee

5.1       The committee may appoint sub-committees for special purposes

5.2       When setting up sub committees the Committee shall determine its terms of reference, compositions and powers.

5.3       Sub-committees shall have a co-ordinator and a recorder.

5.4       Sub-committees shall have the power to co-opt additional persons as and when required.

  1. Annual General meetings (A.G.M.)

6.1      The committee shall convene A.G.M.’s 12 months after the previous AGM

6.2       The committee shall be given not less than 21 days notice in writing of the A.G.M.

6.3       The A.G.M. shall be publicised at least seven days in advance by email or post

6.4       At the A.G.M. the ordinary members shall elect a Committee including a chair, vice chair, secretary, treasurer and minute secretary and any other honorary officers as the committee will decide

6.5       The chair, officers and honorary officers of the committee shall hold office until the conclusion of the A.G.M.

  1. Rules of Procedure

7.1       QUORUM: a minimum of two committee members shall form a quorum at committee meetings and a minimum of two committee members and five ordinary members shall form a quorum at the A.G.M.

7.2       VOTING: every matter, except where this constitution provides otherwise, shall be determined by a majority of members present and voting. In the case of equal votes the chair of the meeting shall have the casting vote.

7.3       MINUTES: a minute of all meetings including sub-committees shall be kept and formally adopted.

  1. Finance

8.1       The financial year shall run from 1st March to 28th/29th February in the following year

8.2       The treasurer shall keep proper accounts of the finances of the club. All incoming funds shall be lodged without deduction to the clubs bank/building society account. All monies raised by or on behalf of the club shall be applied to further the object of the club and for no other purpose. All deeds cheques, bills of exchange, etc, relating to the clubs bank/building society account shall be signed by either the chair, or the secretary / treasurer

8.3       An independent financial examiner elected by the committee shall annually audit the accounts of the committee.

  1. Alterations to the constitution

9.1       Any alterations to this constitution shall receive the assent of no less than two-thirds of the members present and voting at an A.G.M. or special meeting. Provided that the secretary has received such notice of any alteration in writing no less than 21 clear days before the meeting at which the alteration is proposed.

  1. Dissolution

10.1    The committee may be dissolved by a resolution passed by a majority of members present and voting at a special meeting convened for the purpose.

10.2    Any assets remaining after the settling of any debts and liabilities shall be applied towards charitable bodies within Staffordshire. Such charitable bodies to be decided and approved by the aforesaid majority.
